TERMS & CONDITIONS

(Bookings, Experiences & Auction Participation)

These Terms & Conditions govern your use of the services, bookings, experiences and participation in any Online Auction operated by Exceed Group Ltd trading as EXCEED GIVING (“Exceed”, “we”, “us”). By making a booking, purchase or placing a bid, you accept these Terms in full.

1 . Definitions

1.1 Booking means the confirmed reservation of services or experiences booked through Exceed.
1.2 Bidder means any person placing a bid in an Auction.
1.3 Client means the person, firm or company making a Booking.
1.4 Auction means any silent or live fundraising auction event where Lots are offered.
1.5 Lot means any product, experience, service or package offered for bid or purchase.
1.6 Supplier means the third party provider of a Lot.
1.7 Terms means these Terms & Conditions and, where applicable, the Auction Terms.
1.8 Voucher means any digital or e-voucher issued to a winning bidder redeemable for a Lot.

2 . Booking & Payment

2.1 All bookings are subject to acceptance by Exceed and payment of any deposit and balance in accordance with agreed payment terms.
2.2 Time for payment is of the essence. If payment is not received when due, Exceed may cancel the Booking without liability.
2.3 No variation to these Terms shall be binding unless agreed in writing by an authorised representative of Exceed.

3 . Voucher Validity, Redemption & Completion

3.1 Unless stated in writing otherwise, all vouchers for experiences are valid for twelve (12) months from the date of the relevant Auction or issue.
3.2 The experience must be both:
- (a) redeemed (i.e., fully booked and confirmed); and
- (b) fully taken and completed within the validity period.
3.3 Actions that do not satisfy redemption include: preliminary enquiries, provisional holds, email correspondence, or expressions of interest.
3.4 If the experience is not both redeemed and completed within the validity period:
– the voucher automatically expires;
– all rights to redeem or take the experience are forfeited; and
– no extension, reinstatement, credit or refund will be provided.
3.5 The Bidder acknowledges expiry is a fundamental commercial condition of the Lot agreed between Exceed, the Fundraiser and Supplier.

4 . Auction Participation

Participation in an Auction is subject to these Terms and the Auction Terms set out below.

4.1 Bidding & Payment

4.1.1 Bidders must be aged 18 or over.
4.1.2 All bids are legally binding offers. Winning bids make you contractually obliged to pay the winning amount.
4.1.3 Payment will be taken upon Auction close or at the event as applicable.

4.2 Nature of the Contract

4.2.1 Exceed acts as a disclosed agent for the Supplier of any auctioned Lot, with the contract formed between the Bidder and Supplier.
4.2.2 Exceed shall not be liable for Supplier non-performance beyond the remedies expressly set out.

4.3 Additional Lot Conditions

4.3.1 Flights and transport are excluded unless expressly included.
4.3.2 Additional costs (travel, accommodation, insurance, food, visas, taxes etc.) are the Bidder’s responsibility.
4.3.3 Some Suppliers may require security deposits.

5 . Variation, Cancellation & Force Majeure

5.1 Cancellation of a Booking by the Client is non-refundable.
5.2 Exceed may amend services without liability where changes do not materially affect the Booking.
5.3 If an Event or experience is cancelled or disrupted by circumstances outside Exceed’s control (e.g., weather, regulations, health mandates), Exceed may offer rearrangement options, credits, or refunds at its discretion.
5.4 No refunds shall exceed the amount paid for the relevant services, and any charitable component remains non-refundable.

6 . Liability & Indemnity

6.1 Nothing in these Terms limits liability for death or personal injury caused by negligence.
6.2 Subject to clause 6.1, Exceed’s liability is limited to the amount paid for the relevant services.
6.3 Exceed is not liable for indirect or consequential losses.
6.4 You agree to indemnify Exceed for third-party claims arising from your conduct.

7 . COVID-19 / Health Considerations

7.1 Clients must inform us of suspected COVID-19 infection within 7 days prior to an experience. We will endeavour to protect the booking but cannot guarantee outcomes.
7.2 If you are denied entry due to health mandates, no refund is guaranteed.

8 . No Waiver / Variation

8.1 No delay or failure by Exceed to enforce a right shall be a waiver.
8.2 Any concession at Exceed’s discretion shall not create precedent.
8.3 No variation to these Terms is effective unless agreed in writing by a director.

9 . Governing Law

These Terms shall be governed and construed under the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
